SalesThread provides a software-as-a-service platform and related tools for sales process and performance workflows.

We may update, improve, or discontinue features from time to time, including beta and pre-release functionality.

SalesThread is intended for business users. You must provide accurate account information and keep it current.

You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.

Paid plans are billed according to your order form, checkout flow, or other written commercial terms.

Unless otherwise stated in your commercial terms, subscriptions renew automatically for successive terms.

You are responsible for applicable taxes, excluding taxes based on our net income.

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use SalesThread for internal business purposes.

You may not reverse engineer, copy, sublicense, resell, exploit, or misuse the Services, or use the Services in violation of applicable law.

You retain ownership of your Customer Data.

You grant SalesThread the rights necessary to host, process, transmit, and use Customer Data solely to provide, secure, improve, and support the Services and to comply with legal obligations.

Each party may disclose confidential information to the other in connection with use of the Services.

Each party agrees to use reasonable care to protect confidential information and use it only for purposes related to these Terms.

SalesThread, including software, designs, content, documentation, and related intellectual property, is owned by SalesThread and its licensors.

Except for rights expressly granted in these Terms, no rights are granted by implication, estoppel, or otherwise.

The Services may interoperate with third-party products, services, or websites.

SalesThread is not responsible for third-party services, and third-party terms and policies apply to those services.

The Services may include AI-assisted outputs and recommendations. You are responsible for reviewing outputs before making business decisions.

AI outputs may contain errors or omissions and should not be treated as legal, accounting, or other professional advice.

To the maximum extent permitted by law, the Services are provided "as is" and "as available."

SalesThread disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data.

SalesThread's aggregate liability under these Terms will not exceed the amounts paid by you to SalesThread in the 12 months preceding the event giving rise to liability.

You agree to defend and indemnify SalesThread from third-party claims arising from your Customer Data, your use of the Services in violation of these Terms, or your violation of applicable law.

We may suspend access if necessary to prevent harm, address security risks, comply with law, or enforce these Terms.

Either party may terminate for material breach not cured within a reasonable notice period.

Upon termination, your right to use the Services ends, and data handling will follow your contractual terms and our retention obligations.

These Terms are governed by the laws of the State of California, excluding conflict-of-law principles.

Unless otherwise agreed in writing, disputes will be resolved in the state or federal courts located in California, and each party consents to personal jurisdiction in those courts.

We may update these Terms periodically. If changes are material, we will provide notice through the Services or by other reasonable means.

Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.
